Power of Attorney for Property: Sale and Management Formats

Property is where powers of attorney matter most and go wrong most often. This page gives two formats, one to sell and one to manage and rent, and explains what registration and courts require.

Read this first

A power of attorney does not make the agent the owner. In Suraj Lamp and Industries v State of Haryana (2011) the Supreme Court held that general power of attorney sales do not transfer title, and that immovable property can be transferred only by a registered deed of conveyance. A genuine power of attorney, for example to a family member to manage property or to sign and register a sale deed for the owner, remains valid.

So an agent can sign and register a sale deed for you if the deed gives that power; the buyer becomes owner through the registered sale deed, not through the power of attorney.

Registration and stamp duty for property powers

PointWhat the law saysWhat to do
Default ruleA power of attorney is not listed in section 17 of the Registration Act, so its registration is optional under section 18.Notarised execution is often accepted for management powers.
State amendmentsRajasthan (irrevocable powers relating to transfer of immovable property) and Tamil Nadu (powers relating to sale of immovable property, other than those executed outside India) have added powers to section 17. Karnataka passed a 2025 amendment for powers authorising transfer of immovable property, effective from a date the State notifies. If your property is in such a State, register the power at the Sub-Registrar.
Tamil Nadu extra ruleSection 34-B (Tamil Nadu amendment) requires photographs and fingerprints of the principal, agent and witnesses on property powers presented for registration.Carry passport photos and IDs for everyone.
Presentation for registrationSection 33 sets how a power used to present a document for registration must be authenticated.Ask the Sub-Registrar office before the appointment.
Stamp dutySet by each State, and often higher for powers authorising sale, especially to non-family members.Check your State’s stamp schedule; the format leaves the value blank.

Detail and sources are in when must a power of attorney be registered.

Describe the property properly

  • Flat: flat number, floor, building name, plot or survey number, village or ward, city, built-up or carpet area, parking.
  • Land or plot: survey or khasra number, plot number, area with unit, boundaries on all four sides, village, taluka, district.
  • Title: the registered deed under which you own it, with date and registration details.
  • Use exactly the description in your title deed; a different description invites objection at registration.

Do

  • Restrict the agent to a named buyer or minimum price.
  • Require the price to be paid into your bank account.
  • Revoke in writing and inform the Sub-Registrar if you change your mind.
  • Keep copies of every document the agent signs.

Do not

  • Sign an irrevocable sale power as a substitute for a sale deed.
  • Accept cash in exchange for a power of attorney.
  • Let the agent sign a sale deed without your written approval of the final draft.
  • Rely on a very old power when selling; get a fresh one.

Frequently asked questions

Can I sell my property through a power of attorney holder?

Yes, if the power expressly authorises sale of the described property. The agent signs and registers the sale deed for you, and the buyer gets title from the registered sale deed.

Is a GPA sale valid?

A GPA sale, meaning a transfer done only through a general power of attorney, agreement and will without a registered sale deed, does not convey title according to the Supreme Court in Suraj Lamp (2011).

Must a property power of attorney be registered?

It depends on the State and on what the power authorises. Several States require registration of powers relating to sale or transfer of immovable property. Elsewhere registration is optional but often advisable for sale powers.

Can the agent rent out my flat?

Yes, if the power says so. The management format allows agreements of up to eleven months; change it if you want longer leases, which will need registration.

What if the owner dies after giving the power?

The agency generally ends on death (section 201 of the Contract Act), so the agent cannot complete a sale afterwards. The legal heirs or the executor must act.
